1. Introduction and Acceptance
Simple Recovery (the "Service") is a software platform that helps recovery residence networks and their member organizations, houses, staff, and residents manage operations. The Service is owned and operated by Rosasco Solutions LLC, a Maine limited liability company ("Rosasco Solutions," "we," "us," or "our"), with a mailing address of PO Box 312, Dixfield, ME 04224.
By accessing or using the Service, or by accepting these Terms when prompted, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. If you do not agree, do not access or use the Service.
Definitions
- "Service" — the Simple Recovery websites, applications, and related services we provide.
- "Customer" or "Operator" — the organization (for example, a recovery residence network or a member organization) that subscribes to the Service and provisions accounts for its users.
- "Authorized User" — an individual the Customer permits to access the Service, including network administrators, organization administrators, house managers, and staff.
- "Resident" — an individual who is the subject of records maintained in the Service by a Customer, and who may be given limited access through a resident portal.
- "Customer Agreement" — a separate subscription, license, or services agreement (including any Software License Agreement, order form, or business associate agreement) between Rosasco Solutions and a Customer.
- "Content" — data, text, files, and other material submitted to or stored in the Service.
2. Relationship to the Customer Agreement
Many users access the Service under a Customer Agreement between Rosasco Solutions and their organization. Where a Customer Agreement exists, it governs the commercial relationship — including fees, service levels, data ownership, security commitments, and any business associate obligations — for that Customer and its Authorized Users.
If there is a conflict between these Terms and a signed Customer Agreement, the Customer Agreement controls for that Customer and its Authorized Users. These Terms govern individual use of the websites and applications and fill any gaps the Customer Agreement does not address.
3. Eligibility
The Service is intended for use by adults. You must be at least 18 years old to access or use the Service. The Service is not directed to, and we do not knowingly permit accounts for, individuals under 18. By using the Service, you represent that you are 18 or older.
4. Accounts and Access
Accounts are provisioned by Customers and their administrators. You are responsible for the activity that occurs under your account and for keeping your credentials confidential.
- Keep your password secret and do not share your account with anyone.
- Use multi-factor authentication where your organization requires it or where you choose to enable it.
- Notify us and your administrator promptly if you believe your account has been accessed without authorization.
- We may suspend or disable an account that we reasonably believe is being used in violation of these Terms or in a way that creates a security or safety risk.
5. Acceptable Use
You agree to use the Service only for its intended purpose and in compliance with applicable law and your organization's policies. You will not:
- Use the Service for any unlawful purpose, or in violation of any applicable law or regulation, including health-information and substance-use-disorder confidentiality laws;
- Upload, store, or transmit Content you do not have the right to provide, or that infringes the intellectual property or privacy rights of others;
- Access, use, or disclose resident records except as permitted by your organization and applicable law;
- Introduce malware, attempt to gain unauthorized access to the Service or related systems, or interfere with or disrupt the Service;
- Probe, scan, or test the vulnerability of the Service, or circumvent any security or access controls, except with our prior written permission;
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent that restriction is prohibited by law;
- Scrape, harvest, or systematically extract data from the Service, or use it to build a competing product; or
- Use the Service to harass, abuse, or harm another person.
6. Content and License
As between you and Rosasco Solutions, the Customer (or, where applicable, the individual user) retains ownership of Content submitted to the Service. You grant Rosasco Solutions a limited, non-exclusive license to host, store, process, transmit, and display Content solely to operate and provide the Service, to maintain and secure it, and as otherwise permitted by the applicable Customer Agreement.
Resident health information. Identifiable resident records (including substance-use testing records, medication records, incidents, and notes) are processed on behalf of the Customer under the Customer Agreement and, where applicable, a business associate agreement. We do not use that information for our own purposes. See also our Privacy Policy.
7. Our Intellectual Property
The Service, including its software, design, and content we provide, and the "Simple Recovery" name, logo, and other marks, are owned by Rosasco Solutions or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose during your authorized access. No other rights are granted. You may not use our name, logo, or marks without our prior written permission.
8. Copyright and Content Takedown
We respect intellectual property rights and expect users of the Service to do the same. We respond to clear notices of alleged copyright infringement consistent with the U.S. Digital Millennium Copyright Act (the "DMCA"), and we reserve the right to remove or disable access to Content that we believe in good faith infringes the rights of others, and to suspend or terminate accounts of users who infringe.
Reporting alleged infringement
If you believe Content on the Service infringes your copyright, send a written notice to our designated agent at peter@rosascosolutions.com. To be effective, your notice should include:
- Your physical or electronic signature;
- Identification of the copyrighted work you claim has been infringed;
- Identification of the material you claim is infringing, with enough detail for us to locate it;
- Your contact information (name, address, telephone number, and email);
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf.
Counter-notification
If your Content was removed and you believe the removal was a mistake or misidentification, you may submit a written counter-notification to the same address. We may restore the removed Content consistent with the DMCA. We maintain a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers.
9. Third-Party Services
The Service integrates with third-party services. For example, recovery-capital assessments are provided through the Recovery Outcomes Institute's platform. Those services are governed by their own terms and privacy practices, and we are not responsible for them. Your use of an integrated third-party service may be subject to that provider's agreement.
10. Privacy
Our Privacy Policy describes how Rosasco Solutions handles personal information in connection with the Service. Where the Service processes identifiable resident health information on behalf of a Customer, that processing is governed by the applicable Customer Agreement and business associate agreement, not by the consumer Privacy Policy.
11. Service Availability and Changes
We may modify, update, suspend, or discontinue all or part of the Service at any time. We aim to provide reliable service, but except as expressly committed in a Customer Agreement, we do not guarantee that the Service will be uninterrupted, error-free, or available at any particular time. We may perform maintenance that temporarily limits availability.
12. Disclaimers
The Service is an administrative and management tool. It is not a provider of medical or treatment services, and nothing in the Service is medical or legal advice. Decisions about resident care remain the responsibility of the Customer and its qualified personnel.
To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
13. Limitation of Liability
To the fullest extent permitted by law, Rosasco Solutions will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages.
Except as stated below, Rosasco Solutions' total cumulative liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees you paid to Rosasco Solutions for the Service in the twelve (12) months preceding the event giving rise to liability, or (b) US $100.
Exclusions. The limitations in this section do not apply to: (a) any liability that cannot be limited or excluded under applicable law; (b) Rosasco Solutions' liability for fraud, willful misconduct, or gross negligence; or (c) a claim brought by a Resident arising from the unauthorized acquisition, access, use, or disclosure of that Resident's own health information.
Where a Customer Agreement applies to your organization's use of the Service, the limitation of liability in that Customer Agreement governs and controls over this section to the extent of any conflict.
14. Indemnification
You agree to defend, indemnify, and hold harmless Rosasco Solutions from and against claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Service, your Content, your violation of these Terms, or your violation of applicable law or the rights of a third party. This section does not limit any indemnification obligations set out in a Customer Agreement.
15. Termination
We may suspend or terminate your access to the Service if you violate these Terms or if we are required to do so by law, or as provided in a Customer Agreement. You may stop using the Service at any time. Termination of an organization's subscription is governed by its Customer Agreement, including any provisions on data return or deletion. Sections that by their nature should survive termination — including Content licenses already granted, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Maine, without regard to its conflict-of-laws rules. Except where a Customer Agreement specifies otherwise, you agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Maine, and you consent to the personal jurisdiction of those courts.
17. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
